These Terms of Use (“Terms”) govern access to and use of the InsurWing website and, where applicable, the InsurWing platform (“InsurWing” or the “Platform”) provided by Lognormal Analytics Private Limited (“Lognormal”, “we”, “us” or “our”).
By accessing or using InsurWing, you agree to these Terms. If you access InsurWing on behalf of an organisation, you represent that you are authorised to do so.
These Terms should be read together with our Privacy Policy and Disclaimer.
1Professional Use and Customer Agreements
InsurWing is a business-to-business technology and decision-support platform intended for insurance brokers and other insurance professionals. You must use InsurWing only for lawful professional or business purposes and in accordance with applicable laws and regulatory requirements.
Access to certain Platform services may be governed by a separate subscription, customer or other written agreement between Lognormal and you or your organisation (“Customer Agreement”).
Where a Customer Agreement applies, it governs the relevant subscription and use of the Platform. In the event of any inconsistency between these Terms and a Customer Agreement, the Customer Agreement will prevail to the extent of the inconsistency.
2Accounts and Access
Where an account is required, you must provide accurate information and keep your account credentials secure. You are responsible for activity undertaken through your account and must promptly notify us of any suspected unauthorised access.
You must not share credentials with unauthorised persons or attempt to access accounts, information or areas of the Platform that you are not authorised to access.
We may suspend or restrict access where reasonably necessary to protect the Platform, our users or third parties, or where these Terms, an applicable Customer Agreement or applicable law have been materially breached.
3Permitted and Prohibited Use
You may use InsurWing only for its intended professional purposes.
You must not:
- use InsurWing unlawfully, fraudulently or in violation of applicable insurance, data-protection or other regulatory requirements;
- upload or process information that you do not have the right or authority to use;
- attempt to gain unauthorised access to, disrupt or compromise the Platform or its security;
- introduce malicious code or other harmful material;
- reverse engineer, decompile or attempt to derive the source code, models or underlying technology of the Platform except where such restriction is prohibited by law;
- copy, reproduce, resell, sublicense or commercially exploit the Platform except as expressly authorised by us; or
- use InsurWing or its outputs to develop, train or materially improve a competing product or service without our written permission.
4Your Data and Materials
You retain ownership of information and materials that you or your organisation provides to InsurWing.
You are responsible for ensuring that you have the necessary rights, permissions, consents or other lawful authority to provide and process such information through the Platform.
We may process information provided through InsurWing only as permitted by the applicable Customer Agreement, Privacy Policy and applicable law.
5Intellectual Property
InsurWing, including its software, technology, interfaces, design, documentation, branding and other proprietary materials, is owned by or licensed to Lognormal and is protected by applicable intellectual-property laws.
Except for the limited right to access and use InsurWing in accordance with these Terms and any applicable Customer Agreement, no intellectual-property rights are transferred to you.
6Platform Outputs and Professional Responsibility
InsurWing provides technology and decision-support capabilities. Information and outputs generated or displayed through the Platform are subject to our Disclaimer, which forms part of these Terms by reference.
InsurWing does not replace the professional judgment or regulatory responsibilities of the insurance professional using the Platform. Users remain responsible for reviewing and verifying material outputs before relying upon them or using them in insurance-related communications, recommendations or decisions.
Nothing in these Terms creates an insurer, insurance broker, intermediary, agent, fiduciary or professional advisory relationship between Lognormal and any user or third party.
7Third-Party Services
InsurWing may interact with or contain links to third-party services, information or systems. Third-party services may be subject to their own terms and privacy practices.
We are not responsible for third-party services that operate independently of InsurWing, except to the extent responsibility cannot lawfully be excluded.
8Availability and Changes
We may update, modify or improve InsurWing from time to time, including by adding, changing or discontinuing features.
We do not guarantee that the website or Platform will always be available, uninterrupted or error-free, except to the extent expressly provided in an applicable Customer Agreement.
We may temporarily restrict access where reasonably necessary for maintenance, security, legal or operational reasons.
9Disclaimer of Warranties and Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE, PLATFORM AND THEIR CONTENT ARE PROVIDED WITHOUT WARRANTIES OTHER THAN THOSE EXPRESSLY SET OUT IN AN APPLICABLE CUSTOMER AGREEMENT.
WE DO NOT GUARANTEE THAT PLATFORM OUTPUTS WILL BE COMPLETE, ACCURATE OR SUITABLE FOR EVERY PURPOSE, OR THAT USE OF INSURWING WILL ACHIEVE ANY PARTICULAR INSURANCE, COMMERCIAL OR BUSINESS OUTCOME.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOGNORMAL WILL NOT BE LIABLE UNDER THESE TERMS FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL LOSS, OR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY OR GOODWILL ARISING FROM USE OF THE WEBSITE OR PLATFORM.
ANY LIABILITY ARISING UNDER A CUSTOMER AGREEMENT WILL BE GOVERNED BY THE LIABILITY PROVISIONS OF THAT CUSTOMER AGREEMENT.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
10Privacy
Our collection and processing of personal data in connection with InsurWing is described in our Privacy Policy.
Where we process personal data on behalf of a customer, the applicable Customer Agreement and data processing agreement, where applicable, govern that processing.
11Changes to These Terms
We may update these Terms from time to time to reflect changes to InsurWing, our business or applicable law. The updated Terms will be published with a revised “Last Updated” date.
Where required by applicable law or an applicable Customer Agreement, we will provide additional notice of material changes.
12Governing Law and Contact
These Terms are governed by the laws of India.
Subject to any dispute-resolution provisions contained in an applicable Customer Agreement and any rights that cannot lawfully be excluded, the courts at Hyderabad, Telangana shall have exclusive jurisdiction over disputes arising from these Terms.
